Kurt D. Olender is the founding and managing partner of the firm, specializing in corporate law and related commercial areas of practice, representing companies in all facets of the business life cycle: corporate formation and structure issues, capital raising (venture capital, private equity, debt, convertible instruments), mergers and acquisitions, complex contract negotiations and drafting, protection and exploitation of intellectual property (e-commerce, software licensing, development agreements, joint venturing) and data privacy and information security.
Kurt dedicates a substantial portion of his practice to advising companies on business and strategic issues, including financial management and growth strategy, turn-around and restructuring, and asset maximization. Having worked with several hundred companies in his career, Kurt brings a depth of legal and business knowledge to his clients, coupling experience with practical and creative advice that provides clients with the ability to effectively achieve their goals.
Kurt serves as outside general counsel for a significant number of the firm’s clients, assisting them in ordinary course of business decisions as well as event-based transactions. As an integral component of a company’s management team, Kurt advises management on contract negotiations, customer strategy, executive level employment and equity compensation issues, and business execution decisions.
Kurt represents companies in a diversity of industries and located regionally, nationally, and internationally: retail, manufacturing, pharmaceutical, media, ecommerce, computer software, transportation, technology and hospitality, amongst others. The breadth of industries in which Kurt practices has provided him with both a depth and broad coverage of business and legal knowledge.
Kurt was formerly a partner at ReedSmith LLP in the corporate and securities department. Kurt earned his B.A. in economics from the University of Rochester and his J.D. from the Syracuse College of Law where he was an editor of the Syracuse Law Review. He is admitted to practice in New Jersey and New York.
