Regina Romanaux is a Senior Corporate Paralegal at the firm. She assists in all aspects of the firm’s corporate practice. Regina is responsible for the formation of companies, initial drafting of company governing documents, stock option agreements, consulting agreements, and keeping our clients compliant in the states in which they conduct business. Regina supports our corporate attorneys with a varying array of complex transactions: mergers, acquisitions, capital raising, private equity debt, stock purchases, and sales of assets. Her contribution in managing due diligence, drafting of officer’s certificates, resolutions, and other ancillary documents for any transaction allows our corporate attorneys to focus on negotiating the terms of the primary agreement and assuring a successful outcome.
In addition to her corporate experience, Regina also supports our Intellectual Property practice. Regina assists in the preparation of trademark applications, conducts initial clearance searches to determine the availability of proposed trademarks and identify any potential conflicts and coordinates the filing of trademark applications. In addition, she assists attorneys in responding to Office Actions issued by the USPTO, including performing research to identify case law that supports the Responses submitted by our attorneys to the USPTO. Regina tracks all of our clients’ registered trademarks to ensure that renewal deadlines are met and registrations remain active. In addition to trademark filings, Regina also handles all of our clients’ copyright needs.
Regina formerly served as the Corporate Paralegal Manager at Willkie Farr & Gallagher. Prior to that, she worked as a Bankruptcy Legal Assistant at Davis Polk & Wardwell. She received her B.A. in Communications from Fordham University.
